Terms of Service

1. Acceptance of Terms & Eligibility

By accessing or using NYX Finance (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years of age to use NYX Finance. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use the Service.

2. Description of Service

NYX Finance is a personal finance management platform that aggregates and displays financial data from various sources including bank accounts, credit cards, investments, cryptocurrency, precious metals, and sportsbook activity. The Service includes AI-powered financial insights, budgeting tools, net worth tracking, and financial reporting. NYX Finance is a data aggregation and tracking tool — it does not hold, manage, invest, or transmit any funds on your behalf.

3. User Accounts & Responsibilities

You must provide accurate and complete information when creating an account. You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account
  • Keeping your email address and profile information up to date

Authentication is provided by Clerk. We recommend enabling multi-factor authentication for enhanced security.

4. Subscription & Billing

NYX Finance offers a free tier and a premium subscription.

Auto-Renewal:

  • Premium subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless cancelled
  • You will be charged on a recurring basis through Stripe on the same date each billing period
  • Your subscription will continue until you cancel it

Cancellation:

  • You may cancel your subscription at any time from the Settings page or through the Stripe Billing Portal
  • Cancellation takes effect at the end of the current billing period — you will retain access to premium features until then
  • No partial refunds are provided for unused portions of a billing period

Price Changes:

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of the next billing period after the change.

5. Free vs. Premium Tiers

The free tier provides basic functionality with limits on connected accounts, manual entries, and features. The premium tier removes these limits and provides access to additional features including unlimited accounts, AI insights, crypto and precious metals tracking, sportsbook analytics, household sharing, and priority support. Feature availability and tier limits are described on our pricing page and may be updated from time to time.

6. Financial Data Disclaimer

NYX Finance is a financial data aggregation and tracking tool. It does not provide financial advice, investment advice, tax advice, legal advice, or financial planning services.

The information displayed in the Service is for informational and personal tracking purposes only. You should not make financial decisions based solely on data displayed in NYX Finance. Always consult with a qualified financial advisor, tax professional, or other appropriate professional before making important financial decisions.

We are not a registered investment adviser, broker-dealer, tax preparer, or financial planner. Nothing in the Service constitutes a recommendation to buy, sell, or hold any security, financial product, or investment.

7. AI-Powered Insights Disclaimer

AI-generated insights, reports, and analyses provided by NYX Finance are for informational purposes only. They are generated by third-party AI models (Anthropic's Claude) based on your financial data and do not constitute personalized investment advice, financial advice, tax advice, or any form of professional financial guidance.

AI insights may contain errors, omissions, or inaccuracies. They are not a substitute for the advice of a qualified financial advisor. You should independently verify any AI-generated observations before acting on them. NYX Finance is not liable for any decisions you make based on AI-generated content.

8. Sportsbook Tracking Disclaimer

The sportsbook tracking feature is designed exclusively for personal record-keeping of legal sports betting activity. NYX Finance:

  • Is not affiliated with any sportsbook, casino, or gambling operator
  • Does not facilitate, process, or place any wagers or bets
  • Does not encourage or promote gambling
  • Does not provide betting advice or predictions

Users are solely responsible for complying with all applicable gambling laws and regulations in their jurisdiction. If online sports betting is not legal in your jurisdiction, do not use this feature for that purpose.

9. Cryptocurrency & Precious Metals Disclaimer

The cryptocurrency and precious metals tracking features are for portfolio tracking and informational purposes only. NYX Finance:

  • Does not buy, sell, trade, custody, or transmit cryptocurrency or precious metals
  • Does not provide investment advice regarding cryptocurrency or precious metals
  • Sources prices from third-party APIs (CoinMarketCap for crypto, Metals.dev for metals) which may be delayed, inaccurate, or differ from real-time market values
  • Does not guarantee the accuracy of any price data, portfolio valuations, or profit/loss calculations

Cryptocurrency and precious metals are volatile assets. Past performance does not guarantee future results. Always do your own research and consult with qualified professionals before making investment decisions.

10. Household Data Sharing

The Household feature allows you to share financial data with other NYX Finance users. By joining a household:

  • You explicitly consent to sharing your financial data (accounts, transactions, budgets, net worth) with other household members
  • You understand that other members can view your shared data
  • You can leave a household at any time to revoke data access

NYX Finance is not responsible for how other household members use or disclose your shared financial information.

11. Data Accuracy Limitations

While we strive to display accurate financial data, we cannot guarantee the accuracy, completeness, or timeliness of data provided by third-party services including Plaid, CoinMarketCap, Metals.dev, or any other data source. Account balances, transaction data, prices, and valuations may be delayed or contain errors. Users should verify important financial information through their original financial institutions and data sources.

12. Intellectual Property

The Service, including its design, logos, text, graphics, and software, is owned by NYX Finance and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Service.

13. Prohibited Uses

You may not use NYX Finance to:

  • Violate any applicable law or regulation
  • Transmit harmful code, viruses, or malicious software
  • Interfere with or disrupt the Service or its infrastructure
  • Scrape, harvest, or collect data from other users
  • Resell, sublicense, or provide access to the Service to third parties
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service for money laundering, fraud, or other illegal financial activity

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYX FINANCE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL NYX FINANCE, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM:

  • Your use of or inability to use the Service
  • Any errors, inaccuracies, or omissions in financial data displayed by the Service
  • Financial losses resulting from decisions made based on data or AI insights provided by the Service
  • Unauthorized access to your account or data
  • Any third-party services integrated with the Service

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless NYX Finance and its owners, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your financial decisions made using data or insights from the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action or proceeding arising from or relating to these Terms shall be brought exclusively in the state or federal courts located in Utah.

17. Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation by contacting us at legal@nyxfinance.app. If informal negotiation is unsuccessful after 30 days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration conducted in Utah. Each party shall bear its own costs. Nothing in this section prevents either party from seeking injunctive relief in court for matters requiring immediate equitable relief.

18. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our discretion, with or without notice. You may delete your account at any time through the Settings page. Upon termination:

  • Your access to the Service will cease immediately
  • Connected bank accounts will be disconnected
  • Your data will be deleted in accordance with our Privacy Policy
  • Active subscriptions will be cancelled (no refund for the current billing period)

19. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice in the application at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms become effective constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
